These Terms & Conditions apply to services supplied by

By requesting or agreeing to a service, the client acknowledges
that the relevant service description, agreed scope and these
terms form part of the service arrangement.

Nature of the services
ORSA VERIFY LIMITED provides business information verification,
commercial information review, supporting document review,
verification consultation, due diligence-related review and
related information assessment services.
The exact service provided will depend on the service description
and scope agreed with the client.

Service scope
Each service is limited to the scope described when the service
is arranged.
Unless expressly included within the agreed scope, a service does
not automatically include additional research, repeated reviews,
external investigations, legal advice, accounting advice,
regulated professional advice or actions on behalf of the client.

Information supplied by the client
The quality and usefulness of a review depends partly on the
information and documents supplied for consideration.
The client should provide information that is accurate,
sufficiently complete and relevant to the agreed service scope.
Where information is incomplete, inconsistent or unclear, we may
request clarification before completing the review.

Documents and supporting information
Documents supplied for review should be readable and reasonably
suitable for the agreed purpose.
Where a document cannot reasonably be reviewed because it is
incomplete, unreadable or unsuitable for the agreed scope, we
may request a clearer or replacement copy.

Verification and review methodology
Our reviews are based on the information and sources available
within the agreed scope at the relevant time.
A verification review is an assessment of available information.
It should not be interpreted as a guarantee that every historical,
current or future fact relating to a business, document or
commercial matter has been identified.

No guarantee of third-party information
Information originating from third parties, public records,
commercial sources or documents supplied by another person may
change or may contain limitations outside our control.
We assess information within the agreed review scope but do not
control the accuracy, completeness or future availability of
information maintained by third parties.

Consultation services
Where a service includes consultation, the consultation is
provided for the duration and purpose agreed for that service.
Consultation is intended to help the client understand the
information reviewed and consider practical next steps within
the agreed scope.
Unless expressly agreed otherwise, consultation does not
constitute legal, financial, tax, accounting or other regulated
professional advice.

Service delivery
Service delivery is handled in accordance with the relevant
service description and our Service Delivery Policy.
Standard review work will normally be completed within the
timeframe stated for the relevant service. Where no specific
timeframe has been agreed, the service will be provided within
a reasonable time having regard to its nature and scope.

Electronic delivery
Written review summaries, consultation notes, action plans and
related outputs may be delivered electronically where this is
appropriate to the service.
The client is responsible for providing a suitable email address
or other agreed means of receiving the relevant output.

Service completion
A service is considered completed when the agreed review,
consultation or other defined work has been supplied in accordance
with the relevant service scope.
Where a service includes a written output, completion normally
occurs when that output has been supplied to the client.

Changes to the agreed scope
A request that materially changes the original scope may require
separate agreement before the additional work is undertaken.
We will explain the proposed change and its effect on the service
before proceeding with work outside the original scope.

Client responsibilities
The client should:
- Provide relevant information promptly.
- Ensure supplied information is accurate to the best of their knowledge.
- Provide documents in a reasonably usable format.
- Respond to reasonable clarification requests.
- Review delivered outputs within a reasonable period.
- Keep copies of important documents supplied or received.

Intellectual property
Unless otherwise agreed, materials created specifically as part
of the service may be used by the client for its own internal
business or personal purposes connected with the service.
The underlying structure, methodology, templates, systems,
processes and pre-existing materials used to provide the service
remain the property of their respective owner unless expressly
transferred in writing.

Confidential information
Information supplied for the purpose of delivering the service
will be handled with appropriate care and will not ordinarily be
disclosed outside the service context unless disclosure is
reasonably necessary, authorised by the client or required by law.
Personal information is handled in accordance with our Privacy
Policy.

Personal information
Where personal information is required for the service, it should
be limited to information reasonably necessary for the agreed
purpose.
Further information about how personal information is collected,
used and retained is provided in the Privacy Policy.

Service standards
ORSA VERIFY LIMITED will provide services with reasonable care
and skill and in accordance with information about the service
that forms part of the contract where applicable.
Where a specific performance timeframe has been agreed, that
timeframe will apply. Where no specific timeframe is agreed,
the service will be completed within a reasonable time.

Cancellation rights
Where applicable consumer cancellation rights apply to the service
contract, those rights are set out in our Service Cancellation
Policy.
Nothing in these Terms & Conditions is intended to remove,
restrict or replace a statutory cancellation right that cannot
lawfully be excluded.

Early commencement of a service
Where a consumer requests that a service begins during an
applicable cancellation period, the request will be handled in
accordance with the applicable consumer contract rules.
Where the service is cancelled after work has begun following
an express early-start request, the amount properly attributable
to the service already supplied may be taken into account where
permitted by law.

Refunds and service remedies
Where a refund is due under the applicable contract terms or
statutory rights, it will be handled in accordance with the
relevant legal requirements and our Service Cancellation Policy.
Where a service does not conform to applicable statutory service
standards, consumers may have rights to remedies including
repeat performance or an appropriate price reduction, subject
to the circumstances and applicable law.

Limitations of the service
Our services are intended to review and organise information
within an agreed scope.
Unless specifically included, the service does not provide a
guarantee of a particular commercial result, business outcome,
transaction outcome or decision by a third party.
Nothing in this section limits liability or statutory rights
where such limitation is prohibited by applicable law.

Where a review refers to external websites, databases or
third-party information, those sources are outside our control.
Their availability, content and accuracy may change independently
of our service.

Events outside reasonable control
Delivery may occasionally be affected by circumstances outside
reasonable control, including interruption to relevant external
information sources, technical systems or communication services.
Where such circumstances materially affect delivery, we will
communicate the position and take reasonable steps to continue
or complete the service where practicable.

Nothing in these terms is intended to prevent a consumer from
relying on mandatory rights or protections that cannot lawfully
be excluded by contract.

Severability
If a particular provision of these Terms & Conditions is
found to be invalid, unlawful or unenforceable, that provision
will be interpreted or adjusted to the extent necessary where
legally permitted, and the remaining provisions will continue
to operate.
